Acceptance of Terms
Welcome to ASURViO Shield, a website, a downloadable Windows and Mac application, mobile applications for iOS and Android, and browser extensions provided by Asurvio, LP DBA ASURViO Shield. By accessing or using the ASURViO Shield website or account portal, and/or downloading and using the ASURViO Shield desktop application, mobile applications, or browser extensions, you agree to be bound by these Terms and Conditions ("Terms") and the documents listed below. If you do not agree with these Terms, please do not use our services.
These Terms work together with our End User License Agreement (EULA), which covers your license to the software; our Subscription, Billing and Cancellation Terms; and our Privacy Policy. Together they form the agreement between you and us. If they conflict, the Privacy Policy controls on how personal information is handled, the Subscription, Billing and Cancellation Terms control on subscriptions, billing, and cancellation, and otherwise these Terms control over the EULA.
Description of Services
ASURViO Shield adds an extra layer of protection around everyday computer activity involving websites, links, emails, and downloads. The desktop application, mobile applications, and associated browser extensions provide clear guidance when something deserves a closer look, along with related support and update services. ASURViO Shield works alongside antivirus software and does not replace it. It does not guarantee that every scam, threat, or unsafe website will be detected. Support is available by email. We reserve the right to modify or discontinue any aspect of our services at any time without notice.
Eligibility
By using our website or app, you represent that you are at least 13 years of age. If you are under the age of majority in your jurisdiction, you may only use our services with the involvement and consent of a parent or guardian.
Account Registration and Security
Some features of ASURViO Shield may require you to create an account. When you register, you agree to provide accurate, current, and complete information and to update that information as needed. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Please notify us immediately of any unauthorized use of your account.
If you manage a family plan, you are its administrator. You can invite and remove members, choose protection settings for the plan's computers, and see members' names and email addresses, the computers on the plan, their protection status, and protection activity on those computers, as described in our Privacy Policy. You confirm that you have authority to add each member and each computer, and that each member agrees to these Terms, or, for a member under the age of majority, that a parent or guardian has consented. Members are responsible for their own use of ASURViO Shield.
License Grant and Restrictions
Subject to your compliance with these Terms, Asurvio, LP grants you a limited, non-exclusive, non-transferable, and revocable license to download and use the ASURViO Shield application and browser extensions for personal or internal business purposes. You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the application or extensions;
- Modify, adapt, or create derivative works based on the application or extensions;
- Distribute, sell, lease, or sublicense any portion of the application or extensions;
- Use the application or extensions for any unlawful or unauthorized purpose.
User Conduct
You agree to use the ASURViO Shield website, desktop application, mobile applications, and browser extensions only for lawful purposes and in a manner that does not infringe the rights of or restrict the use and enjoyment of our services by others. Prohibited activities include, but are not limited to:
- Harassing or harming other users;
- Uploading or transmitting viruses or malicious code;
- Engaging in any activity that disrupts or interferes with the operation of the website, application, or extensions;
- Submitting content to AI-powered analysis features for any purpose other than protecting your own, or your business's, security and privacy.
Intellectual Property
All content, features, and functionality available on the ASURViO Shield website, desktop application, mobile applications, and browser extensions — including text, graphics, logos, images, AI models, and software — are the property of Asurvio, LP or its licensors and are protected by applicable intellectual property laws. You agree not to copy, reproduce, distribute, or create derivative works without our prior written consent.
Privacy
Your use of ASURViO Shield is governed by our Privacy Policy, which is incorporated herein by reference. Please review the Privacy Policy to understand our practices regarding the collection, use, and disclosure of your Personal Information.
Disclaimer of Warranties
The ASURViO Shield website, desktop application, mobile applications, and browser extensions are provided on an "as-is" and "as available" basis without any warranties, either expressed or implied. Asurvio, LP disclaims all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted or error-free, or that AI-powered analysis features will detect all threats or produce error-free results.
Limitation of Liability
To the maximum extent permitted by law, Asurvio, LP and its licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, privacy breaches, or lost profits, arising from your use of, or inability to use, our website, desktop application, mobile applications, or browser extensions, even if we have been advised of the possibility of such damages. This includes, without limitation, damages arising from reliance on AI-powered analysis results. Our total liability for any claim arising out of or related to these Terms or our services will not exceed the amount you paid for ASURViO Shield in the 12 months before the event giving rise to the claim. This limitation applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Asurvio, LP, its affiliates, officers, agents, and employees from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your use of our website, desktop application, mobile applications, or browser extensions.
Termination
We reserve the right to suspend or terminate your access to ASURViO Shield, with or without notice, for any reason, including if we believe you have violated these Terms or engaged in behavior that could harm other users or our business interests. Upon termination, all rights granted to you under these Terms will immediately cease.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in the appropriate jurisdiction in Texas.
Modifications to the Terms
We may update these Terms, the EULA, and the Subscription, Billing and Cancellation Terms from time to time. When we do, we post the new version with a new "Last updated" date. For material changes, we give notice on our website or by email at least 30 days before the change takes effect, unless the law requires a different timetable or the change is needed to address security or a legal requirement. Other changes take effect when posted. If you keep using ASURViO Shield after a change takes effect, you accept the updated terms. If you do not agree, you may stop using ASURViO Shield and cancel your subscription before the change takes effect.
Subscription, Billing and Cancellation
Subscriptions, recurring billing, payment methods, price changes, and cancellation are covered by our Subscription, Billing and Cancellation Terms, which are part of these Terms.
